1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Arges ("we," "us," or "Company") governing your access to and use of the Arges website, platform, and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.

2. Description of Services

Arges provides an AI-powered platform for mining project due diligence and financing analysis. Our Services include:

• Document processing and data extraction from technical reports, feasibility studies, and financial models
• Automated generation of technical risk memos, financial assumptions tables, and red flag reports
• Cross-verification of claims and identification of inconsistencies
• Audit trail generation with source citations

Our Services are currently in development with a planned launch in Q3 2026. Access during the pre-launch period is limited to design partners and beta users.

3. Eligibility

To use our Services, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using our Services under applicable laws
• Use our Services only for lawful business purposes

If you are using our Services on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

4. User Accounts

To access certain features of our Services, you may need to create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your login credentials secure and confidential
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

5. User Content and Documents

5.1 Your Content

You retain all ownership rights in the documents and data you upload to our platform ("User Content"). By uploading User Content, you grant us a limited, non-exclusive license to process, analyze, and store your content solely for the purpose of providing our Services.

5.2 Representations and Warranties

You represent and warrant that:

• You have the right to upload and share the User Content
• Your User Content does not violate any third-party rights, including intellectual property rights
• Your use of our Services complies with all applicable laws and regulations
• You have obtained all necessary consents and authorizations to share the documents

5.3 Confidentiality

We understand that the documents you upload may contain confidential and proprietary information. We maintain strict confidentiality measures and will not disclose your User Content to third parties except as required to provide our Services or as required by law.

6. Acceptable Use

You agree not to use our Services to:

• Violate any applicable laws, regulations, or third-party rights
• Upload content that is illegal, fraudulent, defamatory, or harmful
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the integrity or performance of our Services
• Reverse engineer, decompile, or attempt to extract the source code of our platform
• Use automated systems or software to extract data from our Services without permission
• Misrepresent your identity or affiliation
• Use our outputs for purposes that could cause harm to third parties

7. Intellectual Property

7.1 Our Intellectual Property

The Services, including all software, algorithms, designs, text, graphics, and other content provided by Arges, are owned by us and are protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our written permission.

7.2 Output Ownership

You own the outputs generated by our Services based on your User Content (such as risk memos, financial assumptions tables, and reports). You may use these outputs for your business purposes. However, you may not use our outputs to train competing AI models or services.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We specifically disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that:

• The Services will be uninterrupted, secure, or error-free
• The results obtained from using the Services will be accurate or reliable
• Any errors in the Services will be corrected

Important: Our AI-generated outputs are intended to assist and augment human decision-making, not replace it. All outputs should be reviewed by qualified professionals before being relied upon for investment or financing decisions. We do not provide investment, legal, or financial advice.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARGES AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or business opportunities
• Loss of data or data corruption
• Investment losses or financial damages
• Reputational harm

Our total liability for any claims arising from or related to these Terms or your use of the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Arges and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

11. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. Upon termination:

• Your right to use the Services will immediately cease
• We may delete your account and User Content
• Provisions that by their nature should survive termination will remain in effect

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Services shall be resolved through binding arbitration in Toronto, Ontario, Canada, except that either party may seek injunctive relief in any court of competent jurisdiction.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

14. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Arges regarding your use of the Services.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect.
• Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver.
• Assignment: You may not assign your rights under these Terms without our prior written consent.
